1. ABOUT THESE TERMS
Thank you for choosing one of our digital products. We're delighted to welcome you in.
These Terms set out how you can use the digital products you've purchased — including our online courses, downloadable resources, audio meditations, video lessons, printables, and Calm Kits — and how we protect the work, methodology and characters that make them what they are.
These Terms are between you and Mindset Mentors Limited, a company registered in England and Wales (Company No. 10312675) with registered office at Barrack House, Barrack Square, Chelmsford CM2 0UU ("we", "us", "our", "the Company"). MiniMe Mindfulness®, Boss Your Morning® and Mentoring 4 Kids by Kids™ are trade marks of Mindset Mentors Limited and our digital products are sold under those brands.
By purchasing, downloading, or accessing any of our digital products, you agree to these Terms. Please read them before completing your purchase. If you don't agree to them, please don't proceed — and please get in touch if you have any questions.
These Terms apply in addition to our Community Terms. Where there is any conflict between these Terms and the Community Terms in respect of a digital product, these Digital Products Terms prevail in respect of that product.
2. PRODUCTS COVERED BY THESE TERMS
These Terms apply to all of our digital products, courses, kits, and online resources, including but not limited to:
•Mentoring 4 Kids by Kids™ — our peer-led mentoring programmes and resources
•Mini Me Time™ — guided meditations, audio content, and supporting materials
•Boss Your Morning® — courses, content and resources for adults supporting children
•Calm Kits™ — including but not limited to the School Transition Kit, Ready 4 BIG School Kit, and SATs Calm Kit, in their home and classroom/nursery editions
•Any other digital product, online course, downloadable resource, or audio/video content provided by Mindset Mentors Limited from time to time.
3. YOUR LICENCE TO USE OUR DIGITAL PRODUCTS
3.1 When you purchase a digital product, we don't sell or transfer ownership of it. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the content for the purposes set out in clause 4 below, for as long as your access remains active.
3.2 Each purchase covers one of the following, as specified at the point of purchase:
•One household — for parents, carers and family use within a single home or household
•One classroom or nursery setting — for use with the specific class or pupils in your direct care, in your registered school or early years setting
•One practitioner's personal practice — for your own learning, reflection and use with the children you directly support, within the scope set out in clause 4
3.3 If your needs are bigger than this — multiple settings, a whole school, a nursery group, or an organisation — please contact us about group licensing (see clause 8). One purchase does not cover multi-site or organisation-wide use.
4. WHAT YOU CAN DO WITH OUR DIGITAL PRODUCTS
Subject to the restrictions in clause 5, you may:
✅Print resources for personal use within your own home, classroom, or registered setting
✅Play audio meditations and video content with your own children, your own class, or the children in your direct professional care
✅Display printable elements (Calm Cards, posters, reward charts) within your home, school, or nursery setting
✅Use the techniques, breathing exercises and activities personally with the children you support
✅Reference and discuss what you've learned with colleagues, parents and the children's families in your setting
✅Share short, accurate, properly-credited references to our work on your own social media (we love seeing this — please tag us)
5. WHAT YOU CANNOT DO WITH OUR DIGITAL PRODUCTS
You agree that you will not, without our prior written permission:
❌Resell, sub-licence, rent, lend, or transfer the digital product to any other person, household, classroom, setting, or organisation
❌Copy, reproduce, redistribute, share, upload, publish, or otherwise make the digital product available beyond the licensed use described in clause 4
❌Upload content to shared digital platforms — including but not limited to Google Drive, Dropbox, school portals, learning management systems, YouTube, TikTok, Instagram, Facebook, or any other online sharing service
❌Edit, modify, adapt, translate, rebrand, or create derivative works based on any part of the digital product
❌Use the content as part of your own product, training programme, course, workshop, service, or business offering
❌Teach, deliver, or run sessions based on our methodology, framework, or curriculum (this is reserved for our licensed practitioner pathway and our Mindset Mentor franchise)
❌Remove, alter, or obscure any copyright notices, branding, watermarks, or attributions
❌Use the digital product (including audio recordings, video content, scripts, and the voices and likenesses of our named characters Oscar and Annie) to train, inform, fine-tune, or develop any artificial intelligence model, machine learning system, large language model, or automated content generation tool
❌Use the digital product, our methodology, or our characters to develop, market, promote, or operate any competing product, service, course, programme, or business
❌Reverse-engineer or attempt to extract the underlying methodology or framework for use outside the licensed purposes
❌Use the digital product in any way that is unlawful, harmful, defamatory, or that brings Mindset Mentors Limited into disrepute
6. OUR INTELLECTUAL PROPERTY
This is the most important part of these Terms — please read carefully.
6.1 All materials within our digital products are the intellectual property of Mindset Mentors Limited. We have spent years developing this work and we take its protection seriously. Our protected intellectual property includes (without limitation):
Methodology, framework and curriculum:
•The Mentoring 4 Kids by Kids™ peer-led mentoring methodology
•The structured progression of skills (courage, confidence, inner calm, resilience)
•The children-teaching-children format and pedagogy
•The lesson architecture, sequence and progression frameworks
•The connection of home, school and community wellbeing — our Whole-Ecosystem framework
Character intellectual property:
•The named characters Oscar and Annie, including their voices, recordings, performances, scripts, images, and any derivative works (including illustrated versions or adaptations)
•All rights and consents associated with the children featured in our content
Content and creative assets:
•Course access details, login credentials, and coupon codes
•Video lessons and tutorial content
•Meditation scripts, audio recordings, and guided meditations
•Breathing techniques, activities, journals, and worksheets
•Calm Cards, reward charts, printable templates, and artwork
•All branding, logos, design assets, and visual identity (including MiniMe Mindfulness®, Boss Your Morning® and Mentoring 4 Kids by Kids™)
6.2 These materials are protected under UK copyright law, trade mark law, database right, and the law of confidence. Trade marks are registered (as marked) or asserted (as marked with ™).
6.3 Nothing in these Terms transfers any ownership of intellectual property from us to you. You receive only the licence set out in clause 3.
7. REFUNDS, CANCELLATION AND ACCESS
7.1 Your statutory rights as a consumer under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 are not affected by these Terms.
7.2 For digital products supplied by immediate download or instant online access, the standard 14-day right to cancel under the Consumer Contracts Regulations does not apply once you have started downloading or accessing the content, provided you have given your express consent to immediate access and acknowledged that this means you lose the right to cancel. By proceeding with your purchase and accessing the content, you give that consent and acknowledgement.
7.3 We may offer a money-back guarantee period for specific products. The terms of any such guarantee will be set out at the point of purchase and will be honoured in full. Refund requests within the guarantee period should be sent to [insert email] with the order reference number.
7.4 Outside any applicable money-back guarantee period, refunds are not available once access to the digital product has been granted.
7.5 We may end your access to a digital product at any time if you breach these Terms. Where access is ended for breach, no refund will be due.
8. MULTI-SITE AND GROUP LICENSING
8.1 If you wish to use our digital products across multiple sites, multiple classrooms, an entire school, a nursery group, a multi-academy trust, or any organisation beyond a single household, classroom or registered setting, you must contact us to arrange appropriate group licensing.
8.2 Group licensing terms vary by product, organisation size, and use case. Please contact [insert email] to discuss.
8.3 Use of a single-purchase licence across multiple sites, classrooms, or settings without our prior written agreement is a breach of these Terms and a breach of our intellectual property rights.
9. DISCLAIMERS — NOT A SUBSTITUTE FOR PROFESSIONAL CARE
9.1 Our digital products are intended as supportive resources to enhance children's emotional wellbeing. They are educational in nature and grounded in evidence-based mindfulness principles, but they are not a replacement for therapeutic, medical, or psychological intervention.
9.2 If a child shows signs of distress, mental health difficulty, or any concern that goes beyond ordinary emotional ups and downs, please consult a qualified healthcare professional, your GP, your school's mental health lead, or a registered child therapist.
9.3 Responsibility for the appropriate use of our digital products with any specific child rests with the parent, carer, educator, or registered childcare professional using them.
9.4 We work hard to make our digital products accurate, useful, age-appropriate and safe, but we cannot guarantee any specific outcome from their use.
10. SAFEGUARDING AND CHILD PROTECTION
10.1 Children's safety is at the heart of everything we do. If you have any safeguarding concern relating to a child arising from your use of our digital products, please contact us immediately at [insert safeguarding contact].
10.2 If you are using our digital products with children in any educational, professional, or organisational setting, you remain responsible for the safeguarding, supervision, parental consent, and wellbeing of those children in line with your own organisation's safeguarding policies and applicable law.
10.3 Where children appear in our content (including our named characters Oscar and Annie), full parental consent and appropriate child-protection safeguards are in place at our end.
11. NON-COMPETE AND NON-REPLICATION
By purchasing, downloading, or accessing any digital product, training resource, or course provided by Mindset Mentors Limited, you agree to the following:
11.1 For a period of twenty-four (24) months from the date of purchase, you shall not, directly or indirectly:
(a)create, sell, distribute, market, or promote any programme, course, kit, or digital resource that is substantially similar in content, structure, methodology, or intended audience to any product, course, or kit owned by Mindset Mentors Limited;
(b)deliver, license, or otherwise provide mindfulness, mindset, or wellbeing training to children, parents, carers, or teachers in a similar format using methods, terminology, frameworks, structures, or progression sequences derived from or substantially based on Mindset Mentors Limited's resources;
(c)use any of our materials, scripts, branding, lesson structures, characters (including Oscar and Annie), or intellectual property — whether modified or in original form — to create competing products or services;
(d)promote or operate a competing business that provides wellbeing, mindfulness, or mindset training to children, schools, nurseries, or families in any region where Mindset Mentors Limited or its franchisees operate or market services;
(e)use the digital product, including any audio recordings, video content, scripts, or character likenesses, to train, inform, fine-tune, or develop any artificial intelligence model, machine learning system, or automated content generation tool, whether for commercial or non-commercial use.
11.2 This clause applies to individuals, schools, nurseries, organisations, contractors, employees, and any third party acting on your behalf or with your knowledge, unless explicit, prior written permission has been granted by Mindset Mentors Limited.
11.3 If you wish to deliver our methodology in a commercial or professional capacity beyond the licensed use described in clause 4, please contact us about our Practitioner Programme, Mindset Mentor Partner pathway, or Franchise opportunity.
12. BREACH AND CONSEQUENCES
12.1 The Parties acknowledge that damages alone may not be an adequate remedy for any breach of these Terms (including in particular clauses 5, 6, 8 and 11), and that the Company shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in addition to damages and any other remedies available at law
12.2 Breach of these Terms may result in:
•Immediate revocation of access to the digital product, with no refund
•Removal of any infringing content from your platforms or settings
•Legal action to recover losses, damages, and reasonable legal costs
•Injunctive relief to prevent further misuse
•Public correction or take-down notices, where appropriate
12.3 You agree to indemnify Mindset Mentors Limited against any losses, damages, costs (including reasonable legal costs), and expenses arising from your breach of these Terms or any infringement of our intellectual property rights.
13. LIMITATION OF LIABILITY
13.1 To the fullest extent permitted by law, we exclude liability for indirect, consequential, or special losses, and we limit our total liability for any direct loss arising from or in connection with these Terms or any digital product to the amount you have paid us for the relevant digital product.
13.2 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
14. RELATIONSHIP TO COMMUNITY TERMS
14.1 If you access our digital products through the Mindset Mentors Community Hub or any other community platform we provide, your access is governed by both:
•Our Community Terms (which cover community participation, use of community spaces, account access and behaviour); and
•These Digital Products Terms (which cover specifically the digital product you have purchased).
14.2 The two documents are designed to work together. Where there is any conflict in respect of a specific digital product, these Digital Products Terms prevail in respect of that product.
15. CHANGES TO THESE TERMS
15.1 We may update these Terms from time to time, including in response to changes in law, regulation, or our business. The version applicable to your purchase is the version in force at the time of purchase, which we will provide to you as part of the purchase confirmation.
15.2 If we make material changes that affect digital products you have already purchased, we will notify you by email and provide a clear effective date for the changes.
16. GENERAL
16.1 Entire Agreement. These Terms (together with our Community Terms, Privacy Policy, and any product-specific terms presented at the point of purchase) form the whole agreement between you and Mindset Mentors Limited in respect of your use of our digital products.
16.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16.3 No Waiver. No failure or delay by us to exercise any right or remedy under these Terms shall operate as a waiver.
16.4 Assignment. You may not assign or transfer your rights or obligations under these Terms. We may assign or transfer our rights freely (for example, in a corporate restructure or sale of business).
16.5 Third Parties. No person other than the parties to these Terms shall have any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
16.6 Governing Law. These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.
16.7 Jurisdiction. The Parties submit to the exclusive jurisdiction of the courts of England and Wales, save that as a consumer you may have additional rights to bring proceedings in your country of residence where required by applicable law.

17. YOUR AGREEMENT
By completing your purchase or accessing this digital product, you confirm that you have read, understood and agree to abide by these Terms in full, including the licence in clause 3, the restrictions in clause 5, the protection of our intellectual property in clause 6, and the non-compete provisions in clause 11.
Any misuse of our digital products or failure to comply with these Terms may result in immediate removal of access and legal action.
